SUBLEASE AGREEMENT

This Sublease Agreement (the “Agreement”) is made on _____________ between G. Ochoa LLC (“Sublessor”) and ________________________ (“Sublessee”).

WHEREAS, Sublessor leases certain premises located at 544 Park Ave, Suite 332, New York, NY 12205 (the “Premises”) and wishes to sublease a portion of the Premises to Sublessee.

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

  1. SUBLEASED SPACE: Sublessor agrees to sublease to Sublessee a portion of the Premises (the “Subleased Space”) for workshop activities.

  2. TERM: The term of this Sublease shall commence on February 1st, 2025 and end on January 31th, 2025, unless terminated earlier as provided herein.

  3. RENT: Sublessee shall pay the amount stipulated by the Brooklyn Industrial Arts Treasurer every month, due on the first day of each month.

  4. SECURITY DEPOSIT: Sublessee shall pay a security deposit of $[AMOUNT] upon signing this Agreement.

  5. USE: The Subleased Space shall be used solely for woodworking, metalworking, and other artistic activities. Sublessee shall comply with all applicable laws, regulations, and the Code of Conduct of Brooklyn Industrial Arts.

  6. CONDITION OF PREMISES: Sublessee accepts the Subleased Space in its current condition “as is.”

  7. MAINTENANCE: Sublessee shall maintain the Subleased Space in good condition and repair, ordinary wear and tear excepted.

  8. INSURANCE: Sublessee shall maintain liability insurance with coverage of at least $1,000,000, naming Sublessor as an additional insured.

  9. INDEMNIFICATION: Sublessee shall indemnify, defend, and hold harmless Sublessor from any claims, damages, or liabilities arising from Sublessee’s use of the Subleased Space.

  10. LIMITATION OF LIABILITY: Sublessor shall not be liable for any damage or injury to Sublessee, its employees, agents, or invitees, or to any property occurring in the Subleased Space, regardless of the cause.

  11. ASSIGNMENT AND SUBLETTING: Sublessee shall not assign this Agreement or further sublet the Subleased Space without Sublessor’s prior written consent.

  12. DEFAULT: If Sublessee defaults in any of their obligations, Sublessor may terminate this Agreement upon 30 days’ written notice.

  13. TERMINATION NOTICE: Sublessee must provide Sublessor with at least sixty (60) days written notice prior to vacating the Subleased Space, even if such vacation occurs at the end of the lease term. Failure to provide such notice may result in Sublessee being responsible for rent for the 60-day period following vacation of the premises or until the space is re-rented, whichever occurs first.

  14. GOVERNING LAW: This Agreement shall be governed by the laws of the State of New York.

  15. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and may only be modified in writing signed by both parties.
